PANAX SWEEPSTAKES OFFICIAL RULES
NO PURCHASE NECESSARY. A PURCHASEWILL NOT IMPROVE YOUR CHANCE OF WINNING.
PROMOTION DESCRIPTION: The Panax Sweepstakes (the “Sweepstakes”) will begin on October 26, 2025 at ___ a.m. Eastern Time (“ET”) and end on October ___, 2025 at ___ p.m. ET (the “Sweepstakes Period”). A random drawing will be conducted on or about ____Nov.4______, 2025(the “Selection Date”) from among all eligible entries received during the Sweepstakes Period to select three (3) winners as more fully set forth below. Entry in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Panax Tech Inc., 400w 61 st, New York, NY, 10023 (“Sponsor”), which shall be final and binding in all respects.
ELIGIBILITY: Only legal U.S. residents of the fifty (50) United States, who are eighteen (18) years of age or older at the time of entry who attend the Sponsor’s booth at the AFP 2025 in Boston, MA, on October26-28, 2025, are eligible to enter. Officers, directors and employees of Sponsor and its parent, subsidiaries, affiliates, distributors, vendors, suppliers, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members (i.e., parent, child, sibling, or spouse) and/or people living in the same household are NOT eligible to enter the Sweepstakes or win a prize. This Sweepstakes is void where prohibited.
By participating, entrants agree tobe bound by these Official Rules and the decisions of the Sponsor, which arefinal and binding.
HOW TO ENTER:
- Visit the Sponsor’s booth during the conference;
- Take a photo at the Sponsor’s booth;
- Post the photo publicly on LinkedIn and tag @panax.
By entering, you grantSponsor a perpetual, worldwide, royalty-free license to use, reproduce, anddisplay your submitted photo and LinkedIn post content for promotional purposesin any media, including but not limited to Sponsor's website, social media, andmarketing materials. You warrant that you own all rights to the submittedcontent and have obtained all necessary permissions from any individualsappearing in your photo.
Since the post is shared voluntarily on LinkedIn, you acknowledge that the photo and accompanying text will be publicly visible.
Submitted photos must not contain: (a) content that is obscene, offensive, or inappropriate; (b)third-party trademarks or copyrighted materials; (c) identifiable minors without parental consent; or (d) any content that violates applicable laws. Sponsor reserves the right to disqualify any entry that violates these restrictions.

No purchase or payment is required to participate. An alternate method of entry to individuals who wish to participate without taking a picture at the booth is available by posting a photo with our company logo (available at https://www.thepanax.com/) on LinkedIn with hashtag [#financederservesavacationand tag [@panax].
LIMIT ONE (1) ENTRY PER PERSON.
All entries must be received by the end of the Sweepstakes Period in order to participate in the Sweepstakes. Except as otherwise contemplated in these Official Rules, and to the extent entrants may otherwise elect at the time of entry, personal information collected in connection with the Sweepstakes will be used in accordance with Sponsor’s privacy policy located at https://www.thepanax.com/privacy-policy.
Entry must be made as specified above. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. Tampering with the entry process or the operation of the Sweepstakes, including but not limited tot he use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry(ies) will be deemed ineligible. The Sponsor shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. The Sponsor assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.
WINNER SELECTION & NOTIFICATION: On or about the Selection Date, three (3) winners will be selected in a random drawing conducted by Sponsor from all eligible entries received throughout the Sweepstakes Period. The potential prize winners will be notified via LinkedIn direct message or email or phone call and must respond within72 hours and comply with the General Prize Conditions listed below. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. Time is of the essence in awarding the prize. If, despite reasonable efforts, a potential prize winner does not respond within three (3) days of the first notification attempt, or if a prize or prize notification is returned as unclaimed or undeliverable to such potential prize winner, such potential prize winner will forfeit the applicable prize, and an alternate prize winner may be selected. If any potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the applicable prize for any reason prior to award, such potential prize winner will be disqualified, and an alternate winner maybe selected. Sponsor may successively attempt to contact up to two (2) potential prizewinners in accordance with such procedure, and if there is still no confirmed prize winner after such attempts have been made, if any, the applicable prize may go unawarded.
PRIZES/ODDS: Two (2) prizes are available during the Sweepstakes. Each prize consists
of one vacation voucher for Hotelgift.com valued at approximately USD 1,000, Total value of all prizes: $2,000. Any travel or other expense exceeding the amount of the voucher shall be the sole responsibility of the winner. The odds of winning depend on the number of eligible participants in the Sweepstake.
GENERAL PRIZE CONDITIONS: No cash alternative or substitution of prizes will be allowed, except that Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason. Prizes will be awarded only if the potential prize winner fully complies with these Official Rules. All portions of the prize(s) are non-assignable and non-transferable. Any prizes pictured in point-of-sale, online and print advertising and othe rSweepstakes materials are for illustrative purposes only. All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion. EACH WINNER IS SOLELY RESPONSIBLEFOR REPORTING AND PAYING ANY AND ALL FEDERAL, STATE, AND/OR LOCAL TAXES OROTHER TAXES, FEES OR COSTS THAT MAY APPLY TO ACCEPTING A PRIZE; SPONSOR IS NOTRESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES. Winners of prizes valued at$600 or more will be required to provide their Social Security Number or Tax ID and will receive IRS Form 1099-MISC for tax reporting purposes, or other Statement of Eligibility, a Liability Release, Tax Documents, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). Failure to provide required tax documentation will result in forfeiture of the prize. If any potential winner fails or refuses to sign and return all Prize Claim Documents within ten (10) days of prize notification, the winner may be disqualified and an alternate winner maybe selected.
Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THEGENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTYOF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCHWARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
PRIVACY & DATA PROTECTION. By participating in the Sweepstakes, you acknowledge and agree that the Sponsor will collect and process certain personal information about you for the purposes of administering the Sweepstakes, selecting and verifying winners, delivering prizes, and complying with applicable legal obligations. Sponsor will not collect data from your LinkedIn profile beyond what is publicly posted.
The types of personal information processed may include your LinkedIn username, post content (including photos and captions), and your contact information such as name, email address, phone number, and mailing address, if provided for prize delivery. If your LinkedIn post includes images of other identifiable individuals, you are solely responsible for ensuring that you have obtained their consent for participation and for the public use of their image in connection with this Sweepstakes.
Please note that your participationinvolves posting content on LinkedIn, which is a third-party platform governedby its own privacy policy. Sponsor is not responsible for LinkedIn’s use ofyour information.
Except asspecifically provided herein, Sponsor collects and uses your personal information onlyas reasonably necessary to operate and administer the Sweepstakes, verifyeligibility, contact winners, deliver prizes, and comply with legalrequirements. Sponsor may contact potential winners through LinkedIn directmessage or by email or phone to verify eligibility and arrange prize delivery. Sponsor does not sellparticipants’ personal information or share it with unaffiliated third parties for their independentmarketing purposes. Sponsor may share yourpersonalinformation with third-party service providers assisting with theadministration of the Sweepstakes (such as random draw management, winnernotification, or prize delivery).
Residentsof certain US States have the right to request deletion of their personalinformation upon written request to privacy@thepanax.com, except where retention is required bylaw.
Sponsor may collect and processpersonal information in the United States and in other jurisdictions where itor its service providers operate for the purpose of administering theSweepstakes, verifying eligibility, and awarding prizes.
By entering the Sweepstakes, you expressly consent to the collection, processing, and transfer of your personal information as described above. For more information about how the Sponsor handles personal data, and to exercise any rights that may be available to you under applicable data protection laws (such as access, correction, or deletion), please review our Privacy Policy or contact us at privacy@thepanax.com.
This Privacy & Data Protection section applies specifically to this Sweepstakes and supplements the Sponsor’s general Privacy Policy, which governs other interactions with Sponsor.
GENERAL LIABILITY RELEASE/FORCEMAJEURE: Acceptance of a prize constitutes winner’s permission for the Sponsor and Promotion Entities to use winner’s name, post content and photograph, without further compensation. Entrants agree that the Sponsor and Promotion Entities(A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or form is communications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the full extent permitted by law. No mechanically reproduced, illegible, in complete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweep stakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond its reasonable control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, act of God or public enemy, satellite or equipment failure, or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal
GOVERNING LAW/JURISDICTION: ALL ISSUES CONCERNING THECONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIALRULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITHTHE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OFMASSACHUSETTS WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OFLAW RULES OR PROVISIONS THAT MAY CAUSE THE APPLICATION OF ANY OTHERSTATE LAWS. FOR THE PURPOSES OF ANY DISPUTES HEREUNDER, BY ENTERING THISSWEEPSTAKES, EACH ENTRANT AGREES THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSESOF ACTION ARISING OUT OF OR IN ANY WAY RELATED TO THIS SWEEPSTAKES SHALL BERESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND SHALL BE SETTLED BY BINDINGARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICANARBITRATION ASSOCIATION.
